The undersigned hereby certifies that the following resolutions were duly adopted and remain in full force and effect:

RESOLVED, that the Company is authorized to enter into financing arrangements with CARE CASH GLOBAL, a California corporation (“CCG”) — California Finance Lender & Broker, DFPI License No. 60DBO-168236, NMLS Company ID 2353336.

RESOLVED, that the Company is authorized to obtain commercial credit facilities, revolving lines of credit, working capital facilities, accounts receivable-secured financing, and related financing products.

RESOLVED, that the following individual(s) are authorized to negotiate, execute, and deliver financing documents:

Authorized Actions

The authorized representative may:

  • Execute financing agreements;
  • Execute promissory notes;
  • Execute guaranties;
  • Execute security agreements;
  • Grant security interests;
  • Authorize UCC filings;
  • Open controlled accounts;
  • Execute ACH authorizations;
  • Submit funding requests.
